  • 10% of the gross income generated in a month

  • To enroll minimum 20 students every month.
  1. Advertising: 
  • Franchisee will maintain its own advertising campaign locally and regionally.
  • Franchiser will lead the following marketing – digital marketing, social media marketing, and online based marketing in general. Franchise will announce the presence of a new Franchisee on the website of Franchiser with address, contact details, email address, telephone numbers and all other details regarding courses. Franchiser will not undertake any special online marketing for the region based marketing or for a particular Franchisee. Franchiser will provide only general marketing for all Franchisees.

  • Franchisee login and password
  • Email accounts
  • We will provide assistance for infrastructure set up on the basis of actual cost incurred
  • Franchiser will provide signage, product etc. to the Franchisee from time to time as per the business requirement.
  1. Duties of a Franchise 
  • Franchise would offer the clients the entire range of services, offered by Franchiser or its Service Provider including Foreign University´s exams.
  • Franchise will oversee the day-to-day management and operation of the Sub-franchise, and maintain record of all the queries related to the courses offered and the mode through which an individual comes to know about Foreign Language Guru.
  1. Obligations
  • The trademark and any copyrights belonging to the Franchiser will remain the property of the Franchiser at all times. Master Franchisee has the right to use the trademarks and copyrights, until termination of this contract, for the purposes of advertising and promotion, provided that it will be used solely to generate/promote business in accordance with the rules and regulations of the govt. and local authorities.
  • Any misuse of the Company’s trademarks or copyrights will result in punishment or terminal of this contract for misusing these items. Franchisee will solely be responsible for misusing the trademarks and copy rights.
  • Franchisee is not supposed to undertake any other business or similar jobs, during the course of this agreement or after the term of the contract for 3 years, which is in conflict with the interests of Franchiser.
  • Franchisee shall keep all information of confidential nature received from Franchiser in whatever form as strictly confidential and shall not disclose it to third Parties without the prior written consent of Franchiser during the term of this Agreement.
  • Franchisee cannot subcontract the franchise jobs further to third party without the knowledge of Franchiser
  • Failure to pay any dues by Franchisee within the stipulated time will incur late fee as penalty. Franchisee shall, in addition to such obligations, pay to Franchisor a sum equal to one and one-half percent (1.5%) of the overdue balance per month, or the highest rate permitted by law, whichever is less, from the date said payment is due.
  1. Termination

 Franchiser has the right to withdraw the Franchisee’s rights for the franchise at any time if the Franchisee fails to comply with ALL company standards. The Franchisee will give up all rights to the franchiser, and will not receive any compensation as a result.

  • The Franchisor shall have the right to terminate franchise if it fails to commence the Business within the period of 1 year from the date of this Agreement. Neglect or fail to perform or observe any of the obligations or conditions undertaken by the Master Franchisee.
  1. Judiciary 
  • Franchisee and Company acknowledges that this Agreement is subject to the laws and regulations of the state of Delhi.
  • Any dispute, controversy or claims arising out of or relating to this Agreement or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the provisions of the [Indian] Arbitration and Conciliation Act, 1996.
  1. General Terms & Conditions
  • “Franchiser”, on its part is engaged in promotion of educational and cultural exchange between India and Foreign Countries, especially by teaching and propagating various Indian and Foreign Languages and is interested in furthering this objective through “Franchise” Outlets on national basis to maintain a uniform standard facilities and services including uniformity in the charges levied from the customers for rendering the specified services.
  • The agreement between the Franchisee and the Franchiser begins on the day of the signing of the contract and continues until end of the first term of the franchise agreement.
  • Franchisee will/ shall own, set up and operate a Franchise location/ or a unit of Franchiser at agreed location. This location is set up only to be a franchise of the Franchiser.
  • The Franchisee’s territory will be limited to within the radius of 50 km.
  • Franchisee needs a carpet area of 500 sq ft to 1000 sq ft more in a prominent locality, accessible by public transport and in the vicinity of educational institutions.
  • Franchisee would offer the clients the entire range of services, offered by Franchiser or its Service Provider including Foreign University´s exams.
  • Franchisee shall not undertake any other business which is in conflict with the interests of Franchiser.
  • Franchisee is not supposed to undertake any similar jobs during the course of this agreement or after the term of the contract for 3 years which is in conflict with the interests of Franchiser.
  • Franchisee shall keep all information of confidential nature received from Franchiser in whatever form as strictly confidential and shall not disclose it to third Parties without the prior written consent of Franchiser during the term of this Agreement.
  • Franchisee will oversee the day-to-day management and operation of the franchise location, and maintain record of all the queries related to the courses offered and the mode through which an individual comes to know about Foreign Language Guru.
  • Franchisee is responsible for maintaining the upkeep of the location. The Franchiser will inspect the location from time to time. Failure to comply with the Franchisers standards in this regard, as noted in the franchise proposal will result in penalty for not complying with the standards or may result in the termination of the franchise contract.
  • Franchisee has to use the official email id, which is made only for Franchisee. Franchiser will give full access to the Email Ids and other related ids.
  • Franchisee has to use the website of Franchiser for its advertisement or promotional purposes. Franchiser will provide detailed information about the Franchisee and its center.
  • Franchisee cannot subcontract the franchise jobs further to third party without the knowledge of Franchiser
  • Franchisee will pay franchiser the sum of Rs.1, 00,000.00 (One Lac only) as a onetime service cum consultation fee for the rights to own the trade mark and to operate this franchise in accordance with this agreement and it will not be refunded at any cost, even if there is a one side termination of contract from either side. This sum is paid through Cheque / D.D. in favor of IGCS Consultancy Services Pvt. Ltd. payable at Delhi.
  • Franchisee will pay the Franchiser all fees of the trainer at real cost, as fixed by Franchiser at the end of every month.
  • Franchisee will pay franchiser commission of 10% of the total course fee paid by a student at the time of enrollment. This commission is applicable on every enrollment.
  • Failure to pay any dues by Franchisee within the stipulated time will incur late fee as penalty.
  • Franchiser will provide Consultation and Advise for setting up of an office and institute in the assigned region as per this agreement. Franchiser will give guidelines from time to time for the promotion of mission and vision of Foreign Language Guru.
  • Franchiser will provide course materials to the Franchisee (one time), trade name, and welcome kit and give the clients and students regarding the Franchisee details and courses
  • Franchiser will lead the following marketing – digital marketing, social media marketing, and online based marketing in general. Franchise will announce the presence of a new Franchisee on the website of Franchiser with address, contact details, email address, telephone numbers and all other details regarding courses. Franchiser will not undertake any special online marketing for the region based marketing or for a particular Franchisee. Franchiser will provide only general marketing for all Franchisees.
  • Franchisee will maintain its own advertising campaign locally and regionally.
  • Franchiser will provide signage, product etc. to the Franchisee from time to time as per the business requirement.

  • Franchisee is allowed to sell or transfer the franchise to someone else, subject to the permission of Franchiser. The new Franchisee should accept and agree to all the terms and conditions of Franchiser, which is valid at that point of time
  • This franchise agreement is up for renewal after every 2 years. Should both parties agree to renew at that time, a new contract will be drafted and signed. If either party wishes to terminate the agreement, it is free to do so at this time.
